What is alleged to have happened
SEBI adjudicating officer Vijayant Kumar Verma issued this order on 31 July 2023 against Arun Panchariya in the matter of Texmo Pipes & Products Limited, whose shares trade on the BSE and NSE. A June 2022 order had imposed a Rs 25 lakh penalty, but the Securities Appellate Tribunal quashed it in March 2023 because no show cause notice had been served, and sent the case back.
SEBI's investigation covered March and April 2011. It found that Texmo raised USD 9.99 million, about Rs 44.18 crore, through GDRs issued on 11 April 2011 and that Vintage FZE was the only subscriber, using a loan facility from EURAM Bank for the full amount. The company pledged the GDR proceeds as security. Vintage repaid about USD 6.50 million in instalments and then defaulted on the rest, and the bank set the unpaid balance of about USD 3.49 million against the pledged proceeds. SEBI therefore alleged that GDRs worth that sum had effectively been issued free of cost, and that converted shares were sold on the BSE and NSE for about Rs 14.82 crore.
SEBI charged Mr Panchariya, whom it linked to Vintage, with acting as a party to a fraudulent scheme, in breach of section 12A of the SEBI Act and Regulations 3(a)-(d) and 4(1) of the PFUTP Regulations 2003. After a long review of his objections the officer held the charge made out and imposed the same penalty as in the earlier order.
The penalty was Rs 25 lakh under section 15HA. No market restriction was imposed in this order.
