What is alleged to have happened
The final order of 28 August 2026 was made by a SEBI whole-time member. It concerns the initial public offer of Trafiksol ITS Technologies Limited (TITL) on the BSE SME platform in September 2024, which raised Rs 44.87 crore at Rs 70 a share and was oversubscribed about 346 times. The noticees are the company and its promoters, Jitendra Narayan Das, chairman and managing director, and Poonam Das, a whole-time director.
A complaint after allotment questioned the proposed Rs 17.70 crore software purchase, because the third-party vendor had filed no accounts for more than three years and reported nil revenue. BSE deferred listing and SEBI passed an ex parte interim order on 11 October 2024 holding the proceeds in escrow. An earlier SEBI order of 3 December 2024 had already dealt with misstatements about the objects of the issue as regards the company. The merchant banker and its officers were left out of this order because their settlement applications were pending.
The show-cause notice of 28 August 2025 alleged misleading financial disclosures in the prospectus, such as about top customers and suppliers, the concealment of material facts, the giving of false information about the vendor, and Mr Das's conduct during the investigation. The order finds those allegations established against the company and the promoters, in breach of the anti-fraud and listing-related provisions named in the notice, and holds Mr Das and Ms Das individually answerable for the objects-of-issue misstatements.
All three noticees are restrained from the securities market for one year. Penalties are Rs 30 lakh for the company, Rs 50 lakh for Mr Das and Rs 25 lakh for Ms Das, under sections 15A(a), 15HA and 15HB, Rs 1.05 crore in all.
