What is alleged to have happened
A SEBI adjudicating officer issued this order on 26 July 2023 against Arun Panchariya concerning the GDR issue of Rainbow Papers Ltd., listed on the NSE and BSE. The Securities Appellate Tribunal had set aside an earlier May 2022 penalty in March 2023 because the show cause notice had not been served on him, and sent the matter back for a fresh decision.
SEBI's investigation covered January and February 2010. It found that the company issued 1.02 million GDRs worth USD 27.02 million, equal to about 10.2 million shares, on 27 January 2010, and that a single entity, Vintage FZE, subscribed to all of them. Vintage paid with a loan from EURAM Bank under an agreement Mr Panchariya signed as its managing director, and the company signed a pledge agreement putting the GDR proceeds up as security. SEBI alleged that the issue would not have been taken up without that security, and that the bank account was in the company's name but not at its disposal.
After a loan default of about USD 6.26 million the bank took that sum from the company's proceeds. SEBI said funds connected to the noticee then converted GDRs and sold the shares in India, and that investors were led to believe the GDRs had been genuinely subscribed. The officer found violations of section 12A of the SEBI Act and Regulations 3(a)-(d) and 4(1) of the PFUTP Regulations 2003.
The penalty under section 15HA was Rs 20 lakh, payable within 45 days. No market restriction was imposed in this order.
