Checked against the primary document on October 3, 2026. The library's summary, tags and figures for this record were compared with the regulator's own document by an AI model (Claude) following written instructions, with sampled and disputed records read a second time. No lawyer has reviewed them. A checked record can still contain errors, and checked does not mean endorsed. See how we check records or report a correction.
In April 2018 the SEC settled administrative proceedings against ChinAmerica Andy Movie Entertainment Media Company, finding it was an undisclosed blank-check shell whose principal, Andy Fan, held nearly all its shares for a later reverse merger with a Chinese company while its reports hid his ownership. Its securities were revoked.

What is alleged to have happened
The Securities and Exchange Commission instituted and settled this proceeding on April 25, 2018 (Securities Act release 10489), without admission or denial by the company.
The order finds that in 2011 Fan set out to assemble a roster of US public companies for later reverse mergers with Chinese companies, and that ChinAmerica was an undisclosed blank-check company under Rule 419 whose periodic reports failed to disclose Fan's beneficial ownership of essentially all its securities and misrepresented that it had business operations. It was formerly Court Document Services, a company Fan arranged to manufacture in 2012 by buying an existing private business. The company had filed no periodic report since June 30, 2016.
It was ordered to cease and desist and its securities registration was revoked under Section 12(j). No money was ordered. This library tags the matter as reverse merger schemes and undisclosed control blocks. The tagging is ours, not the regulator's.
For the regulator's own account of the facts, read the primary document linked above. This page deliberately summarises the structured record rather than reproducing the release.
