SEBI v. Rajat Jain and Ritesh Jain (Principal Mutual Fund, DHFL downgrade switches, 2023)

Dismissed

Checked against the primary document on October 8, 2026. The library's summary, tags and figures for this record were compared with the regulator's own document by an AI model (Claude) following written instructions, in a single reading of the order; an independent second reading of 60 SEBI records agreed on every field for 56, the four misses being penalty amounts; a later sample of 50 of the SEBI records added on 9 October agreed on every field for 46. No lawyer has reviewed them. A checked record can still contain errors, and checked does not mean endorsed. See how we check records or report a correction.

What is alleged to have happened

A SEBI adjudicating officer decided this matter on 20 September 2023. The noticees, Rajat Jain and Ritesh Jain, held key managerial positions at Principal Mutual Fund's asset manager. An inspection by chartered accountants covering April 2019 to March 2021 had noted that the two moved their own money from one scheme to another before the downgrade of DHFL's rating.

SEBI alleged that by switching units of Principal Low Duration Fund before the 14 May 2019 downgrade of notes in which the fund held exposure, they avoided losses and breached Regulations 3(a), 4(1) and 4(2)(q) of the PFUTP Regulations and section 12A of the SEBI Act. A related charge was that they breached clause E(3)(d) of SEBI's 2016 guidelines on employee investments, which bars employee redemptions when a significant valuation change is likely and not yet told to investors.

The noticees did not dispute the switches but said they had no non-public information. The officer found that news coverage around the downgrade already described DHFL's worsening condition, that nothing showed the noticees held information that had to be given to unitholders, and that the notes were still valued using outside valuations without any change in method. On the guidelines charge, the fund's net asset value moved little around the downgrade, so no significant valuation change had occurred.

The officer concluded that the violations were not established and disposed of the proceedings with no penalty. The officer did not go on to examine penalty questions.

The record does not show the size of the switches, whether SEBI appealed, or any criminal case.

This library tags the matter as front running, following the regulation cited in the show cause notice. The tagging is ours, not the regulator's.

For the regulator's own account of the facts, read the primary document linked above. This page deliberately summarises the structured record rather than reproducing the order.

What technique is this, and how does it work?

This action is tagged with one technique in our taxonomy. The tagging is ours: regulators charge statutory provisions, not technique names, so the mapping is an editorial judgement described in our editorial policy.
