In January 2023 a SEBI adjudicating officer fined P.V.R. Murthy Rs 10 lakh for his part in a second GDR issue, by Zenith Birla (now Zenith Steel Pipes), where the company's own GDR proceeds were pledged to secure the loan that paid for the issue. This was the companion of a same-day order on Birla Cotsyn.

What is alleged to have happened

The order of 31 January 2023 was made by SEBI adjudicating officer G. Ramar. The sole noticee is P.V.R. Murthy, a director and authorised signatory of Zenith Birla (India) Ltd, now Zenith Steel Pipes & Industries Ltd, listed on BSE and NSE. Like the Birla Cotsyn order of the same day, it was made after the Securities Appellate Tribunal set aside an earlier order against him on 22 November 2022 and sent the matter back to SEBI for a fresh decision.

SEBI investigated May to June 2010. It found the company issued 1.81 million global depositary receipts, worth USD 22.99 million and equal to 5,43,57,060 equity shares, and that one buyer, Vintage FZE, took all of them with a loan from a European bank dated 12 May 2010. Board resolutions of October 2009 and March 2010 authorised Mr Murthy, jointly with the managing director, to sign the bank documents, and he executed a pledge agreement on 12 May 2010 putting the GDR proceeds up as collateral for the buyer's loan. SEBI alleged the issue therefore financed itself, the money was never at the company's disposal, and the company's statements gave a false picture of a genuine subscription. The charge was fraud under section 12A of the SEBI Act and PFUTP Regulations 3 and 4(1).

Mr Murthy relied on the long delay and on cases in which penalties had been reduced. The adjudicating officer held the charge established and distinguished those cases because he was a signatory of the pledge, not only of a board resolution; without it, he found, the issue would not have been subscribed.

He imposed a penalty of Rs 10,00,000 under section 15HA, payable within 45 days. No gain or loss to investors was quantified.

The record does not show whether the order was appealed or how the proceeds were finally applied.
