SEC v. Bruce Schoengood, Medifirst Solutions, Inc. and Joshua Tyrell (paid stock promotion, 2021)

Alleged — pending

These are allegations. SEC has filed an action; nothing in it has been proven, and the respondents have not been found liable. Everything described on this page is what the regulator alleges, not what a court has found. See our editorial policy.

Checked against the primary document on October 4, 2026. The library's summary, tags and figures for this record were compared with the regulator's own document by an AI model (Claude) following written instructions, with sampled and disputed records read a second time. No lawyer has reviewed them. A checked record can still contain errors, and checked does not mean endorsed. See how we check records or report a correction.

What is alleged to have happened

the Securities and Exchange Commission announced this matter on February 24, 2021 as release LR-25034. The respondents named are Bruce Schoengood, Medifirst Solutions, Inc. and Joshua Tyrell (1 individual, 1 entity).

This library tags the matter as paid stock promotion, based on the conduct the regulator describes. Each tag links to a page explaining how that technique works, what statute it engages, and what penalties comparable actions have attracted. The tagging is ours, not the regulator's: agencies charge statutory provisions, not technique names.

The conduct is recorded against equities.

Non-monetary relief recorded: officer-and-director bar, penny stock bar.

The release references a parallel criminal proceeding. Where a criminal case exists, the civil and criminal outcomes are recorded separately, because they resolve on different standards of proof.

Outcome so far. SEC release LR-25446 says that on 16 June 2022 the Eastern District of New York entered a final consent judgment against Tyrell with a penny stock bar, US$125,000 in disgorgement, US$26,883.95 in interest and a US$100,000 penalty. SEC release LR-25886 says that on 25 September 2023 the court entered a final judgment against Medifirst enjoining it from anti-fraud and registration violations. Both releases say the case against Schoengood, the lead defendant, remained pending.

Because the lead defendant had no outcome in the sources found, the record stays at filed and no money figures are entered for the matter as a whole. Checked on 2026-10-04: no outcome for Schoengood found on SEC litigation release pages.

What technique is this, and how does it work?

This action is tagged with one technique in our taxonomy. The tagging is ours: regulators charge statutory provisions, not technique names, so the mapping is an editorial judgement described in our editorial policy.

Primary documents

Everything on this page derives from the documents below. Where our summary and the primary document disagree, the primary document is right.

Same matter

The library links these 3 records because they appear to concern one matter: the same lead defendant, an overlapping technique tag and close filing dates, or a shared court docket or a release that cites the other. Records are listed by date filed.

This grouping is the library's, made by matching names, techniques, dates and citations when the site is built. It is not the regulator's or a court's determination that the records are one case, and it errs towards missing a link rather than making a false one.
