What is alleged to have happened
This adjudication order of 29 January 2025 deals with Urja Global Limited, a listed company then describing itself as a solar-power business, and 17 other noticees who were directors, executives, compliance officers or independent directors at various times. It follows a complaint about misleading disclosures, notably an announced five-year supply arrangement with a Japanese pharmaceutical company, and an earlier 2022 SEBI order that had already restrained the company and several individuals from the market.
SEBI alleged that the company's announcements of agreements and memoranda of understanding between April 2018 and August 2019 misled investors, breaching regulations 3 and 4 of the PFUTP Regulations. It also alleged that the company and its board breached the listing-disclosure and governance rules, including on disclosure of material events, board oversight and the company's own code of conduct.
The adjudicating officer found the listing breaches proved for most noticees, and held that the announcements required disclosures that were not properly made. In a few instances the order says the evidence was insufficient, for example against the compliance officers and some independent directors in particular periods. The order is lengthy and addresses each announcement and each role separately.
The penalties total Rs 90 lakh. Urja Global was penalised Rs 30 lakh under section 15HA for the fraud finding, plus Rs 5 lakh under 15A and Rs 5 lakh under 15HB. Honey Gupta, Yogesh Kumar Goyal, Aditya Venkatesh and Dheeraj Sisodia were each penalised Rs 5 lakh under section 15HA, together with 15HB or related penalties of Rs 1 lakh to Rs 5 lakh. Further noticees were penalised Rs 1 lakh to Rs 3 lakh each under section 15HB or 15A. Payment is due within 45 days.
