In August 2024 a SEBI chief general manager found that Rana Sugars Limited's promoters had diverted company funds to promoter-related entities and that its accounts were misstated as a result. What is alleged to have happened

SEBI chief general manager G. Ramar issued the final order on 27 August 2024. Fifteen noticees were named: the listed sugar company Rana Sugars Limited, members of the promoter family including managing director Inder Pratap Singh Rana, chairman Ranjit Singh Rana and director Veer Pratap Singh Rana, the chief financial officer Manoj Gupta, and five promoter-related companies. Twelve are named on this record; Jay Aar Builders, R J Texfab and R G S Traders were the other three companies.

SEBI investigated whether promoters and related entities diverted funds from the company, whether this led to misstatements in its financial statements, and whether the funds were siphoned off. It alleged that money was moved to the five related companies in the guise of business advances, causing the company a loss of interest and leaving amounts outstanding.

The order finds breaches by the company and its management of the fraud and unfair trade practice regulations read with section 12A of the SEBI Act, and the listing regulations, and treats the five related companies as recipients. It weighed repeated opportunities to provide documents that the first seven noticees did not use, the benefit to the noticees and the loss of interest to the company and its shareholders. SEBI directed the company to recover its dues from the five related companies through an independent law firm appointed in consultation with the National Stock Exchange, reporting quarterly and to shareholders at general meetings. It restrained noticees 2 to 15 from the securities market for 2 years and noticees 2 to 9 from director or key managerial roles in other listed companies for 2 years. Penalties under sections 15A(a), 15HA and 15HB totalled Rs 63 crore, including Rs 7 crore on the company, Rs 9 crore on Inder Pratap Singh Rana and Rs 3 crore on each related company.
