What is alleged to have happened

A SEBI adjudicating officer in Mumbai decided this matter on 23 September 2022. The sole noticee is Rajesh Pavithran, managing director of K Sera Sera Limited (now KSS Limited), which issued global depository receipts in 2007 and 2009.

SEBI's investigation into GDR issuers found that the lead manager of both issues was Pan Asia Advisors, owned by Arun Panchariya. The first issue closed in November 2007 for about USD 25 million and the second in October 2009 for about USD 29.98 million, with the proceeds held at Euram Bank in Austria. SEBI alleged that the process was devised so that loans arranged against the proceeds funded the subscriptions, that the GDRs were then converted into shares through foreign investors and sold in India through connected entities, and that the company and its directors took part to the detriment of Indian investors.

The noticee did not answer the original notice, which was served by newspaper publication, and an adjudication order of January 2021 imposed Rs 1 crore on him. The Tribunal set that order aside in May 2021 and sent the matter back, and a new adjudicating officer decided it afresh.

The order finds that the noticee violated section 12A of the SEBI Act and the PFUTP Regulations through his part in the fraudulent GDR issues. In fixing the penalty the officer notes that the conduct dates from 2007 and 2009, that no gain or investor loss could be quantified, and that a parallel whole time member order of September 2017 had already barred him from the market for ten years. The penalty is Rs 20,00,000 under section 15HA.
