What is alleged to have happened

Two SEBI whole time members issued this settlement order on 7 September 2022. It is one of a set of orders on the same promoter-group network as the Ashoka Viniyoga settlement of the same date. The seven applicants were Sahu Jain Limited, Samir Jain, Meera Jain, and four related companies including Ashoka Viniyoga Limited.

SEBI investigated 2013 to 2019 for misrepresentation of the promoters' holdings as public shareholding and non-compliance with the minimum public shareholding norms. The show cause notice of October 2020 alleged that Sahu Jain broke listing regulations and the shareholding circulars and committed fraud under section 12A of the SEBI Act and Regulations 3(b), 3(c) and 4(1) of the PFUTP Regulations. The other applicants were charged with takeover and insider-trading disclosure failures, the shareholding norms and, in the same form, the fraud provisions.

The applicants asked to settle on a neither-admit-nor-deny basis, as the settlement regulations allow. After the Delhi High Court, where related writ petitions were pending, said SEBI was free to consider the applications, SEBI's advisory committee recommended terms in June 2022.

The amounts were Rs 2,43,10,000 for Sahu Jain, Rs 1,12,01,300 each for Samir Jain and Meera Jain, Rs 2,24,21,300 each for Punjab Mercantile, Combine Holding and Camac Commercial, and Rs 2,43,99,650 for Ashoka Viniyoga, Rs 13,83,76,150 in total. Sahu Jain, Combine Holding and Ashoka Viniyoga undertook not to raise money from the public for 24 months, and Camac Commercial undertook to extend an exit offer to the remaining public shareholders at the 2019 price for three months, subject to any increase the High Court directs.

The order disposes of the proceedings and bars further action for the same defaults, though SEBI may restore them if representations prove false or undertakings are broken. It makes no finding of violation. The record does not show the outcome of the exit offer or the High Court petitions.
