What is alleged to have happened

The adjudicating officer of the Securities and Exchange Board of India decided the matter on 30 August 2022. SEBI investigated several Indian companies' overseas GDR issues after a Lisbon bank said initial GDR subscribers had borrowed against the proceeds. For Soma Textiles & Industries Ltd, the subscriber Whiteview Trading Corporation had taken such a loan. The noticees were the company and four individuals, S K Somany, A K Somany, P Bandopadhyay and Sunil Patel.

SEBI alleged that the issue was not genuinely subscribed, that the company concealed a credit agreement and an account charge agreement over the GDR proceeds, and that it changed the intended use of the proceeds without disclosure. It alleged that the company's announcements to the exchanges were misleading and that the shares underlying the GDRs were then converted and sold in India for about Rs 43.5 crore.

The order finds that the company and the four individuals breached section 12A of the SEBI Act and the PFUTP Regulations, and finds the company breached its listing agreement. It describes the announcement that the GDRs were genuinely subscribed as a fraud on Indian investors.

The company was penalised Rs 20 lakh under section 15HA and Rs 5 lakh under section 23E of the securities contracts law, and each of the four individuals Rs 5 lakh under section 15HA, Rs 45 lakh in total. The section 23E amount is payable depending on the outcome of a pending Supreme Court appeal on that provision.
