What is alleged to have happened
The final order of 24 August 2026 was made by a SEBI whole-time member on a show-cause notice of 24 October 2024. Twelve noticees were named: Max Financial Services Limited (MFSL), a listed holding company; its subsidiary Max Life Insurance Company Limited (MLIC); Axis Bank Ltd, Axis Capital Ltd and Axis Securities Ltd; and seven present or former directors and key managerial persons of MFSL.
SEBI alleged that MFSL and MLIC, with Axis Bank, devised arrangements under which shares were issued to Axis group entities at par and later bought back at higher prices, to give Axis extra benefits beyond permitted commissions because insurance rules barred paying them directly. It also alleged that a 2020 arrangement let Axis entities hold an indirect stake in MLIC at a discount, with a claimed undue benefit of Rs 3,911.95 crore, and that MFSL's disclosures about these matters were incomplete, misleading or late.
The order holds that the disclosures, tested against the Listing Agreement and listing regulations in force at the time, did not violate the provisions invoked, although they could have been more comprehensive. On fraud, it finds that active concealment of material information is not established, that there is no evidence of price or volume manipulation, and that the notice did not show injury from the acts or conduct showing an intention to defraud. It therefore finds the alleged scheme to defraud MFSL's shareholders not established, and the charges against the officers fall with it.
The proceedings were disposed of against all twelve noticees without any direction, restraint, disgorgement or penalty.
