What is alleged to have happened
The Ontario Securities Commission filed its application on September 23, 2025 and the Tribunal approved the settlement on September 26, 2025, issuing reasons on October 17, 2025 (file 2025-16).
Staff alleged that Huynh traded and tipped contrary to subsections 76(1) and 76(2) of the Securities Act using non-public information about the Score acquisition, and that Pham, who knew of the plan, acted contrary to the public interest. Huynh's order includes a seven-year ban on acting as a director or officer of any issuer or registrant, a C$325,000 administrative penalty, disgorgement of C$270,000 and C$40,000 in costs. The terms for Pham are in the order and are not summarised here.
