What is alleged to have happened
The Securities and Exchange Commission instituted and settled this proceeding on April 16, 2015 as Securities Act release 9749, without admission or denial by Warren.
Warren was the named sole officer and director of two Florida shells. InTake registered a $30,000 offering in 2010 and changed control in February 2011, and BlueFlash registered one in 2011 and changed control in August 2013. The order finds that both companies' filings misrepresented who controlled them, that undisclosed promoters actually did, and that their stated business plans were never pursued, making them undisclosed blank-check companies.
This library tags the matter as undisclosed control blocks because the order finds that the shell was controlled by persons its filings never named. The tagging is ours, not the regulator's: agencies charge statutory provisions, not technique names.
The order requires Warren to cease and desist from the antifraud and reporting provisions and bars him from serving as an officer or director of a public reporting company and from penny-stock offerings. He must pay disgorgement of $12,029.88 and prejudgment interest of $1,380.87 in two instalments. The record had shown only the interest.
