In August 2024 the Securities and Exchange Commission announced a final consent judgment against Robert Del Prete, a former accounting consultant to the SPAC HighCape, who bought its shares an hour after a board meeting on its merger with Quantum-Si. He was enjoined, barred from serving as an officer or director of a public company, and ordered to pay $60,170 in disgorgement and $7,012 in interest, deemed satisfied by his criminal forfeiture; in the criminal case he received a year of probation and a $30,000 fine.

What is alleged to have happened

The Securities and Exchange Commission announced this judgment on August 13, 2024 as release LR-26073, in a District of New Jersey case filed September 18, 2023; the final consent judgment was entered on August 9, 2024. It follows the September 2023 judgment recorded separately, which left the money to be decided.

The complaint alleged that Del Prete, bound to keep HighCape's information confidential, sold within hours of the February 18, 2021 announcement for a profit of about $60,170. He was sentenced on April 2, 2024 in the parallel criminal case.

What technique is this, and how does it work?

This action is tagged with one technique in our taxonomy. The tagging is ours: regulators charge statutory provisions, not technique names, so the mapping is an editorial judgement described in our editorial policy.

Same matter

The library links these 2 records because they appear to concern one matter: the same lead defendant, an overlapping technique tag and close filing dates, or a shared court docket or a release that cites the other. Records are listed by date filed.

This grouping is the library's, made by matching names, techniques, dates and citations when the site is built. It is not the regulator's or a court's determination that the records are one case, and it errs towards missing a link rather than making a false one.
