What is alleged to have happened

The Securities and Exchange Commission announced this matter on December 16, 2015 as litigation release 23429. The defendants named are Oxford City Football Club, Inc. and Thomas Anthony Guerriero, with GCE Wealth, Inc., an entity he owns, as relief defendant. The complaint, filed December 10, 2015, alleges that from at least August 2013 Mr Guerriero ran a boiler room selling millions of unregistered shares on false claims of a thriving conglomerate, when the company had about $1 million in assets and lost millions each year. The court issued a temporary restraining order and asset freeze, and a parallel criminal case was announced. The record previously showed a $495 million alleged gain; that figure is the company's own claimed five-year profit projection for a university that did not exist, not a gain by anyone.

This library tags the matter as boiler rooms, based on the conduct the document describes. The tagging is ours, not the regulator's: agencies charge statutory provisions, not technique names.

The court entered consent final judgments on 26 January 2017 against Oxford City, Guerriero and GCE Wealth, Inc., a relief defendant owned by Guerriero. Guerriero was enjoined from further violations, barred from penny stock offerings and from serving as an officer or director of a public company, and ordered to pay disgorgement of $2,240,173 plus interest of $100,648; GCE Wealth was ordered to pay the same figures. Oxford City was ordered to pay $6,600,000 plus $253,358 in interest. The SEC says Guerriero's disgorgement is deemed satisfied by the restitution order in his criminal case, where he pleaded guilty to conspiracy to commit wire and mail fraud and received 12.5 years. It is not stated how the three disgorgement figures overlap, so the stored money is the company's, the largest single figure.

This grouping is the library's, made by matching names, techniques, dates and citations when the site is built. It is not the regulator's or a court's determination that the records are one case, and it errs towards missing a link rather than making a false one.
