What is alleged to have happened
The Securities and Exchange Commission announced this matter on April 26, 2024 as release LR-25985, filing in the Northern District of Illinois the same day.
The complaint alleges that Crotty misappropriated confidential information from a BP colleague and bought 848.824 shares on February 15, 2023; TravelCenters' price rose 70.8 percent after the February 16 announcement. The release calls this the SEC's second case over trading ahead of that deal. The U.S. Attorney's Office for the Northern District of Illinois filed a parallel criminal case.
