SEC v. Kent P. Watts, et al. (unregistered distributions, 2017)

Alleged — pending

These are allegations. SEC has filed an action; nothing in it has been proven, and the respondents have not been found liable. Everything described on this page is what the regulator alleges, not what a court has found. See our editorial policy.

Checked against the primary document on October 4, 2026. The library's summary, tags and figures for this record were compared with the regulator's own document by an AI model (Claude) following written instructions, with sampled and disputed records read a second time. No lawyer has reviewed them. A checked record can still contain errors, and checked does not mean endorsed. See how we check records or report a correction.

In 2017 the SEC charged brothers Kent and Mike Watts and Kirby Caldwell over a scheme to qualify Hydrocarb Energy stock for exchange listing; Caldwell is charged with Section 5 violations. In October 2017 the court stayed and administratively closed the civil case pending a related criminal case. No outcome has been found, so it stays marked filed.

What is alleged to have happened

On April 21, 2017 the SEC announced a complaint in the Southern District of Texas against Kent and Mike Watts, alleging a fraudulent scheme to qualify Hydrocarb Energy Corporation stock for a major exchange listing through sham transactions, including one with Kent's nephew Kirby Caldwell, that let them secretly control millions of shares. Caldwell is charged with Securities Act Sections 5(a) and 5(c) violations and Kent Watts with aiding and abetting them, along with fraud and reporting charges. These are allegations; Section 5 is a secondary charge in a fraud case.

On October 2, 2017 the court stayed the case and administratively closed it until a related criminal case in the Eastern District of New York is resolved, with status reports due every six months. That order is not an outcome. Checked on 2026-10-04: no judgment, settlement or dismissal was found in the SEC litigation releases or the court record sources reached, so the matter remains marked filed.

This library tags the matter as unregistered distributions, based on the conduct the document describes. The tagging is ours, not the regulator's: agencies charge statutory provisions, not technique names.

What technique is this, and how does it work?

This action is tagged with one technique in our taxonomy. The tagging is ours: regulators charge statutory provisions, not technique names, so the mapping is an editorial judgement described in our editorial policy.
