What is alleged to have happened
The Securities and Exchange Commission announced the settled complaint on April 15, 2022 as litigation release 25368, filed in the District of Massachusetts.
Carl Iberger allegedly passed confidential news of the distribution deal to his son and another person; Timothy bought 25,000 shares the day before the announcement. Timothy would disgorge $68,350 and pay a matching penalty; Carl would pay $69,223, equal to his tippees' profits, and accept a five-year officer-and-director bar.
The earlier record showed a final judgment and only Carl's penalty; the settlements still needed court approval.
