In June 2017 the SEC settled administrative proceedings against Andrew Keck, finding that the shell Global Group Enterprises Corp. filed registration papers that hid its undisclosed controlling promoters. He agreed to $10,000 disgorgement, $1,337.90 interest and a $2,500 penalty.

What is alleged to have happened
The Securities and Exchange Commission instituted and settled this proceeding on June 29, 2017 as Securities Act release 10378, without admission or denial by Keck.
Keck was the named sole officer, director and majority shareholder of Global Group Enterprises, a Florida shell that registered a 3,000,000-share offering in 2012. He had been told he would hold the post in name only for a flat fee. The order finds the company had at least two undisclosed parents, promoters and control persons until control changed hands in February 2013, and that its filings misstated who controlled it. He was ordered to cease and desist from the antifraud, reporting and books-and-records provisions and barred from penny-stock offerings.
This library tags the matter as undisclosed control blocks because the order finds the shell was controlled by persons its filings never named. The tagging is ours, not the regulator's: agencies charge statutory provisions, not technique names.
He was ordered to pay disgorgement of $10,000, prejudgment interest of $1,337.90 and, in light of his sworn financial condition, a reduced civil penalty of $2,500, in instalments. The record had shown no money.
