A SEBI adjudicating officer found that a Hindu undivided family traded in HDFC Ltd. and HDFC Bank securities before the April 2022 merger announcement on information passed from an insider through the karta's son, and imposed a Rs 10 lakh penalty. The two men said to be the insider and the go-between had already settled and are not named in the order.

What is alleged to have happened
On 29 July 2025 a SEBI adjudicating officer issued an order against Rupesh Satish Dalal HUF in the matter of suspected insider trading ahead of the merger of HDFC Ltd. into HDFC Bank. The merger was announced before market hours on 4 April 2022 and lifted HDFC Bank shares by about 10 per cent and HDFC Ltd. by about 9 per cent. After an NSE report, SEBI investigated trading from 1 November 2021 to 30 April 2022.
SEBI alleged that an insider, called Mr X in the order at the noticee's request, passed the merger information to Mr Y, who passed it to his father, Rupesh Satish Dalal, the karta of the HUF, and that Mr Dalal traded on it through the HUF's account in both stocks, including option positions taken shortly before the announcement. SEBI took the period of the information as 13 December 2021 to 4 April 2022. The charges cited the PIT Regulations on procuring and trading on such information, and parts (d) and (e) of section 12A of the SEBI Act. Mr X and Mr Y had settled in December 2024.
The officer found the charges established. He relied on call and meeting records, statements taken in the investigation, the son's role in the trades and the unusual trading pattern, and held the HUF liable under section 15G of the SEBI Act.
The order imposed a penalty of Rs 10,00,000, the statutory minimum. It records that no investor loss and no earlier violation was shown, and it states neither a gain figure nor any disgorgement or market bar.
The record does not show the HUF's profit as the officer computed it, whether it appealed or paid, or the identities of Mr X and Mr Y, which are withheld. The order is a civil penalty, not a criminal conviction.
