What is alleged to have happened
SEBI investigated Omnitech Infosolutions Ltd, listed on BSE and NSE, for the period January 2012 to December 2014 after a complaint of manipulation by its promoters and their associates. The price rose from about Rs 110 in September 2012 to a high of about Rs 204 in early January 2013 and then fell steadily to under Rs 9 by the end of 2014. The shares last traded in September 2017.
SEBI identified a group of 63 connected entities, including 17 promoters. The five noticees in this order were two companies, Anil Finature and Jayneel Securities, and three individuals, two of them directors of Anil Finature and one the director of Jayneel Securities. The notice alleged that Anil Finature placed 278 buy orders for one to ten shares each, many of which raised the last traded price, and that it and Jayneel Securities traded small quantities with each other in a way that helped push the price up, including a trade for one share at Rs 200 when the previous day's last price was Rs 177.75.
The officer held that the noticees manipulated the price and created a misleading appearance of trading in breach of section 12A of the SEBI Act and the fraud-prevention rules in the PFUTP Regulations. The order notes no quantifiable gain or investor loss and no earlier default, and stresses the need for deterrence.
The penalty of Rs 25 lakh under section 15HA is imposed on all five noticees jointly and severally, with the usual 45-day payment period.
The record does not show whether the order was appealed, how the amount is split among the noticees, or what became of the promoters, who are not among the noticees of this order.
