What is alleged to have happened

The matter concerns the 2011 initial public offering of Birla Pacific Medspa Ltd, a company listed on BSE, which SEBI investigated because the share price swung sharply on its listing day, closing far above the issue price. The adjudicating officer's order was issued on 28 September 2022 and names the company, several current and former directors and other individuals as noticees. One former director, Vijay Agarwal, was not penalised, because the officer found his position different from that of the other directors.

SEBI alleged that the company stated in its offer documents that the money would fund new spa outlets, brand promotion and working capital, but instead diverted a large part of the proceeds. According to the order, about Rs 34.91 crore of the Rs 65.17 crore raised was siphoned off, and some of the money was channelled to third parties who used it to buy the company's own shares and support the price on listing day. The order also finds that quarterly filings given to the exchange did not reflect the true use of the funds.

The officer found that the company and one director breached the fraud-prevention rules in the PFUTP Regulations and section 12A of the SEBI Act through the price-support scheme, and that the company and nine individuals breached the same provisions through the misutilisation of IPO funds and the misleading reporting. The company was also found to have ignored SEBI summons and to have breached listing-agreement disclosure clauses.

The penalties, in rupees, were Rs 1.09 crore on the company across four provisions, Rs 25 lakh each on most directors, and Rs 32 lakh and Rs 26 lakh on two directors who also faced listing-agreement findings. These sum to Rs 3.42 crore; Rs 2 lakh of the company's amount, imposed under section 23E of the securities contracts law, is payable only depending on the outcome of a pending Supreme Court appeal in a different case.
