SEBI v. S. Giridharan and others (GDR issue, Edserv Softsystems, 2022)
Judgment entered
Checked against the primary document on October 9, 2026. The library's summary, tags and figures for this record were compared with the regulator's own document by an AI model (Claude) following written instructions, in a single reading of the order; an independent second reading of 60 SEBI records agreed on every field for 56, the four misses being penalty amounts; a later sample of 50 of the SEBI records added on 9 October agreed on every field for 46. No lawyer has reviewed them. A checked record can still contain errors, and checked does not mean endorsed. See how we check records or report a correction.
In May 2022 a SEBI adjudicating officer fined four people a combined Rs 60,00,000 over Edserv Softsystems' 2011 GDR issue, finding that it was funded by a bank loan secured against the issue's own proceeds. The company's chairman and managing director and two outside facilitators were penalised; two other directors were held not liable.

What is alleged to have happened
The order of 31 May 2022 concerns the August 2011 issue by Edserv Softsystems Limited of 1.60 million global depository receipts worth USD 23.89 million, all subscribed by one entity, Vintage FZE (now Alta Vista International FZE). The six noticees were the company's chairman and CEO S. Giridharan, its managing director G. Gita, two other directors, and two outsiders, Arun Panchariya and Mukesh Chauradiya.
SEBI alleged that Vintage paid for the GDRs with a loan from EURAM Bank, that Mr Giridharan signed a pledge agreement putting the GDR proceeds up as collateral for that loan, and that when Vintage defaulted the bank took USD 23.29 million from the proceeds. On that account the issue was said to be self-financed and fraudulent, at the expense of other investors. Mr Chauradiya was said to have signed the loan for Vintage, and Mr Panchariya to be connected to funds that later traded in the shares.
The adjudicating officer found the scheme fraudulent in breach of section 12A of the SEBI Act and Regulations 3(a) to (d) and 4(1) of the PFUTP Regulations, held Mr Giridharan and Ms Gita responsible as the company's key officers, and found Mr Panchariya and Mr Chauradiya liable for aiding and abetting. After examining emails and resignations, he held that the other two directors, T.S. Ravichandran and S. Arvind, were not liable.
The penalties under section 15HA were Rs 20,00,000 on Mr Giridharan, Rs 10,00,000 on Ms Gita, Rs 20,00,000 on Mr Chauradiya and Rs 10,00,000 on Mr Panchariya, Rs 60,00,000 in total. No market ban is imposed in this order, and it notes earlier SEBI action against Vintage and the two outside noticees in similar GDR matters.
The record does not show whether the penalties were paid or appealed, what happened to the shares behind the depositary receipts, or what other shareholders lost.
This library tags the matter as no specific technique, since the issue was a self-financed GDR scheme rather than one of the library's listed manipulation methods. The tagging is ours, not the regulator's.
