In March 2022, on remand from the Securities Appellate Tribunal, a SEBI adjudicating officer fined Keynote Commodities Limited Rs 2 lakh for passing money to two entities whose bids lifted the subscription of the 2010 Emmbi Polyarns IPO. The order found this helped the underwriter avoid devolvement and drew in ordinary investors.

What is alleged to have happened
This adjudication order of 31 March 2022 concerns Keynote Commodities Limited, a company related to the underwriter Keynote Capitals Limited and the lead manager Keynote Corporate Services Limited, in the matter of the initial public offering of Emmbi Polyarns Limited. An earlier order of July 2013 imposed Rs 25 lakh; the Securities Appellate Tribunal remanded it in October 2014 for fresh consideration, and a new adjudicating officer decided it.
The IPO of about 95.74 lakh shares at Rs 40 to 45 opened on 1 February 2010 amid poor analyst opinions and a low credit-rating grade. Only 5.7 percent was subscribed on the first day. On the second day bids from entities connected to the lead manager or its associates, nearly all at the top of the price band, lifted the issue to about 1.5 times subscribed, which could be seen on the exchanges' bid data. The shares listed on 24 February 2010 and closed about 37 percent below the issue price on the first day.
The show cause notice of 20 May 2011 alleged breach of section 12A(b) of the SEBI Act and Regulations 3(b), 3(c), 3(d), 4(1) and 4(2)(c) of the PFUTP Regulations. The officer found that the underwriter transferred Rs 13.33 crore to the noticee, which in turn sent Rs 12.3 crore to Team India and a further Rs 1 crore to Anidhi, the two entities that bid. The noticee said these were ordinary commercial transactions, and the officer accepted they were among many, but held that the timing showed the payments were made to facilitate the bids. The officer concluded that the noticee assisted the underwriter to avoid devolvement and that this lured common investors to bid.
The violations were held established, and Rs 2 lakh was imposed under section 15HA, payable within 45 days. In setting this low figure the officer noted that no gain to the noticee or loss to investors was shown, that the underwriter and lead manager had already been barred from new assignments for a month each, and that the events dated from 2010.
The record does not show whether the noticee appealed again, how the other connected entities were treated, or any criminal case.
This library applies no technique tag to the matter, because no technique, because the finding concerns funding bids to lift an IPO's subscription, which fits none of the library's techniques with confidence. The tagging is ours, not the regulator's.
