Dismissed

Checked against the primary document on October 9, 2026. The library's summary, tags and figures for this record were compared with the regulator's own document by an AI model (Claude) following written instructions, in a single reading of the order; an independent second reading of 60 SEBI records agreed on every field for 56, the four misses being penalty amounts; a later sample of 50 of the SEBI records added on 9 October agreed on every field for 46. No lawyer has reviewed them. A checked record can still contain errors, and checked does not mean endorsed. See how we check records or report a correction.

In January 2022 a SEBI adjudicating officer disposed of, without penalty, allegations that PIL Italica Lifestyle Limited funded a preferential allotment of its own shares through related companies acting as conduits. The officer found the material insufficient to show the allottees used the company's money.

What is alleged to have happened

This adjudication order of 28 January 2022 involves eleven noticees in the matter of PIL Italica Lifestyle Limited, a moulded plastic furniture maker based in Udaipur and listed on the BSE and NSE. They were the company, its managing director Daud Ali and whole time director Narendra Bhanawat, two preferential allottees, Ali Asgar Kagzi and Hussain Kagzi, and six companies said to be connected to the promoter group.

SEBI examined trading and the company's one preferential allotment around an investigation period from March to August 2016. The show cause notice of 22 October 2021 alleged that the company's own money reached the two allottees through the connected companies and was used to pay for the allotment, creating a false impression of capital infusion. It relied on fund transfers among the noticees, shared addresses, phone numbers and email IDs, common directors and shareholders. The alleged breach was of section 12A(a), (b) and (c) of the SEBI Act and Regulations 3(a) to (d) and 4(1) of the PFUTP Regulations.

The adjudicating officer was not persuaded. The officer noted that money flowed back from the allottees to the alleged conduits, that the noticees transacted frequently both before and after the allotment so the transfers could reflect ordinary business, and that nothing singled out the impugned transfers. Shared addresses and contact details were undisputed but explained as convenience, and the fact that allottees are related to a company does not itself raise concern in a preferential issue. The officer held that a serious allegation of this kind needs material showing beyond doubt that the funds were the company's, and that this was lacking.

Because the allegation was not established against the company, the executive directors could not be held liable either. The notice was disposed of against all eleven with no penalty. The officer also observed that the notice did not charge the company with unlawfully financing the purchase of its own shares.

The record does not show whether SEBI appealed, or any criminal case.

This library applies no technique tag to the matter, because no technique, because the allegation was of an issuer funding its own preferential allotment, which fits none of the library's techniques, and it was not established. The tagging is ours, not the regulator's.
