What is alleged to have happened
The Ontario Securities Commission filed an inter-jurisdictional statement of allegations on August 29, 2017 and issued its order on October 11, 2017.
On March 22, 2017 Jawhari entered a settlement agreement with the Alberta Securities Commission in which he admitted insider trading in Artek shares before the February 23, 2015 announcement that Kelt would acquire Artek. He had been tipped by Aouad Choufi, a friend employed by Kelt.
Ontario's order reciprocates the Alberta sanctions; in its reasons the Commission called the conduct a form of insider trading that undermines investor confidence and has long been condemned.
