In May 2021 ASIC reported that Gregory Campbell, a Healthe Care Australia executive, pleaded guilty to one count of insider trading in Pulse Health shares. He was sentenced to 12 months' imprisonment with release on recognisance, a A$10,000 fine and a A$31,996 pecuniary penalty.

What is alleged to have happened

The Australian Securities and Investments Commission announced the plea on May 21, 2021 as release 21-110MR.

Campbell acquired 392,257 Pulse Health shares for about A$127,384 while holding inside information from his role as national development and construction manager at Healthe Care, and sold them two days later. One earlier count was dismissed by the magistrate for insufficient evidence.

The record previously showed the matter as dismissed because of that single dropped count; he pleaded guilty and was sentenced in November 2021 (see release 21-305MR).

Outcome. ASIC's later release 21-305MR reports that the County Court of Victoria sentenced Campbell to 12 months' imprisonment, released on a A$10,000 recognisance, fined him A$10,000 and ordered a pecuniary penalty of A$31,996, the profit from the trade. The judge said that without the guilty plea the sentence would have been two years without release on recognisance. The court's account is that he bought 392,257 Pulse shares while knowing of a planned Healthe Care approach and sold them after the offer was announced.

What the sources do not show: release 21-305MR does not state the sentencing date. The date used here, 16 November 2021, comes from the editor's note on the earlier plea release, which said that was when sentencing would take place.
